The only real big difference in the 2 I can think of is that the A940 has a 2.0 megapix Optical Zoom and the A940 has a removable SD trans-flash slot for Pictures, MP3, Video.

The CPU speed of the A940 feels a lot greater. I had an A940, but returned it for an A900. There is a ton of lag on some menus on my A900. Some minor features are gone (like those worthless motion "games").
